In order to use the Mr Leads Service, you must register for an account with your email address and a password. You must safeguard the password and email address You use to access our Service. numbers). All financial data is sent directly to our payment gateway for

Limitation of Liability
NEITHER MR LEADS NOR ANY
OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING OUR SERVICE
(INCLUDING, BUT NOT LIMITED TO, THIRD PARTY APPLICATIONS AND SERVICE CONTENT)
SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR
EXEMPLARY DAMAGES , INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS,
GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF MR LEADS HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM YOUR ACCESS TO, OR
USE OF, OR INABILITY TO USE OUR SERVICE AND THE SERVICE CONTENT, WHETHER BASED
ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY,
AND WHETHER OR NOT WE KNOW OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL
MR LEADS’S LIABILITY TO YOU OR ANY THIRD PARTY ARISING OUT OF ANY USE OF OUR
SERVICE EXCEED THE AMOUNT PAID BY YOU TO MR LEADS FOR THE SERVICE TO WHICH SUCH
LIABILITY IS CLAIMED. Because some jurisdictions do not allow the exclusion or
limitation of liability for consequential or incidental damages, the above
limitation or exclusion may not apply to You.
If Your use of our Service results in the need for servicing or replacing
property, material, equipment or data, We are not responsible for those costs.
Disclaimer of Warranties
Your use of our Service is at your sole risk, and You agree to assume all risks and responsibilities for the selection of our Service to achieve Your desired results. Our Service is provided on an “as is” and “as available” basis. Mr Leads disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Mr Leads will make reasonable efforts to maintain our Service, however, Mr Leads is not responsible for any damage, loss of data, customer information, revenue, or other harm to business arising out of delays, misdelivery or nondelivery of information, restriction or loss of access, bugs or other errors, unauthorized use due to your sharing of access to our Service, or other interaction with the Service. Mr Leads makes no warranty that (1) the website will meet Your requirements, (2) our Service will be uninterrupted, timely, secure, or error-free, (3) the results that may be obtained from the use of our Service will be accurate or reliable, (4) the quality of any products, services, information, or other material purchased or obtained by You through our Service will meet your expectations, and (5) any errors in our Service will be corrected. Any material downloaded or otherwise obtained through our Service is done at your own discretion and risk and You are solely responsible for any damage to your computer system or loss of data that results from the download of any such material. No advice or information, whether oral or written, obtained by You from Mr Leads or through or from our Service shall create any warranty not expressly stated in this Service Agreement. Please note that some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusions may not apply to You.

You authorize Mr Leads to send notices to You, at Mr Leads’s discretion, via electronic mail, postal mail, or by posting them on this web site. It is your responsibility to check for updates to this Service Agreement.
General Terms
This Service Agreement,
including the documents referenced by and incorporated into this document,
constitutes the entire agreement between You and Mr Leads and governs your use
of our Service, superseding all prior or contemporaneous agreements,
understandings, or representations and, except as expressly provided therein,
may not be modified or amended except in writing signed by both Parties. You
also may be subject to additional terms that may apply when you use affiliate
or other Mr Leads services, third-party content, or third-party software. You
are responsible for compliance with applicable local laws, keeping in mind that
access to the Site Content may not be legal by certain persons or in certain
countries. If any part of this Service Agreement is held to be unenforceable,
the unenforceable part shall be given effect to the greatest extent possible
and the remainder will remain in full force and effect. This Service Agreement
is personal to You and You may not transfer, assign or delegate this Service
Agreement to anyone without the express written permission of Mr Leads. Any
attempt by You to assign, transfer or delegate this Service Agreement without
the express written permission of Mr Leads shall be null and void. This Service
Agreement and any registration for or subsequent use of our Service will not be
construed as creating or implying any relationship of agency, independent
contractor, franchise, partnership, or joint venture between any user and Mr
Leads.
This Service Agreement will be governed by the law of New York, U.S.A., without
regard to its conflicts of law provisions. Any dispute related to this Service
Agreement will be submitted to binding arbitration in New York County, New York,
pursuant to the Commercial Arbitration Rules of the American Arbitration
Association; provided, however, that either Party may seek preliminary
injunctive or other equitable relief pending arbitration to prevent irreparable
harm. Any dispute You may have with respect to the Service must be commenced
within one year after it arises, or the cause of action is barred.
The section titles in this Service Agreement are for convenience only and have
no substantive effect.
Terms of Service
THESE TERMS OF SERVICE GOVERN OUR AGREEMENT TO PROVIDE SERVICES TO YOU, AND
YOUR SUBSEQUENT OPERATION OF YOUR ACCOUNT.
By signing up for and/or otherwise accessing any of the services or products provided by MR LEADS Lead Finder, you agree to be bound by all these Terms and Conditions. Our business and our products are constantly evolving and as such we reserve the right to change our Terms and Conditions when necessary. It is your responsibility to ensure that you are up to date with all of our Terms and Conditions. We will, however, notify you of any material changes.
DEFINITIONS “Agreement” shall refer to the agreement
between MR LEADS Lead Finder and the Customer for the provision of Services by MR
LEADS Lead Finder to the Customer;
“Confidential Information” shall refer to information which is
identified as confidential or proprietary by either party or the nature of
which is clearly confidential or proprietary;
“Customer” shall refer to You, an individual or entity which has
accepted these Terms of Service;
“Fees” shall refer to the fees for the Services, the pricing of which
is as shown on searchmarketingpanel.co.uk;
“Intellectual Property Rights” shall refer to any and all patents,
trademarks, service marks, copyright, know-how, design rights, or any other
intellectual or similar rights, whether or not registrable in any country,
together with all or any goodwill relating to the same;
“Services” shall mean digital marketing;
“You”;, “Your”; and grammatical variants thereof shall mean
you, any other entity which has an ownership or other beneficial interest in
you, or any other entity in which you have an ownership or beneficial interest.
1. FEES & PAYMENT TERMS
1.1 All Fees for Services are payable in arrears and are non-refundable unless
agreed in writing by MR LEADS Lead Finder.
1.2 Although MR LEADS Lead Finder reserves the right to change the prices for
the Services at any time, all pricing is guaranteed for a period of 1 month and
if MR LEADS Lead Finder decides to increase your pricing, you will be informed
no later than 1 calendar month before.
1.3 Customers are required to maintain a valid payment subscription and email
address on their account at all times. Failure to do so may result in the
suspension of your account;
1.4 MR LEADS Lead Finder will suspend access and/or cancel an account which:
(i) contains invalid or fraudulent details; (ii) initiates a chargeback.
1.5 All subscriptions have 1-month minimum terms and will automatically renew.
You may cancel at any time, with cancellation taking place at the end of the 1-month
period you paid for previously.
2. TERM & TERMINATION
2.1 The minimum length of service for all services is 1 calendar months.
2.2 In order to ensure continuity of service, MR LEADS Lead Finder operates an
auto renewal policy on all the Services it provides to Customers. Upon
expiration of Your initial term, Your Services shall be automatically renewed
for the same period as Your initial term.
2.3 If customers do not wish to renew a product/service, they will need to
cancel their payment subscription via the website, telephone, live chat or
email with a minimum of 6 hours before renewal.
2.4 MR LEADS Lead Finder reserves the right to terminate a Customer’s Agreement
at any time.
2.5 MR LEADS Lead Finder shall have the right to terminate this Agreement
immediately should the Customer fail to make payment for any Service, when such
payment becomes due to MR LEADS Lead Finder;
3. CANCELLATION
3.1 Customers may not cancel their Service(s) during the term of service (1
month) but can cancel future renewal for any future month.
3.2 Customers will not be entitled to cancel any Service if there are
outstanding payments associated with that Service.
3.3 Cancellations are only accepted via telephone, email, billing page or live
support with a minimum of 6 hours’ notice before the next billing period.
3.5 Cancellations are not accepted verbally.
3.6 Cancellations made via live support should be deemed not cancelled unless a
reply is received from a customer support representative.
4. DISCLAIMERS AND WARRANTIES
4.2 MR LEADS Lead Finder makes no warranties or representations that any
service will be uninterrupted or error-free. You accept all services provided
hereunder “as is” without warranty of any kind.
4.3 All implied conditions, warranties and terms (whether express or implied by
statute, common law, custom or otherwise) including, but not limited to, those
relating to the exercise of reasonable care and skill, fitness for purpose and
satisfactory quality (where applicable) are hereby excluded in relation to each
of the services to be provided hereunder to the fullest extent permitted by
law.
4.4 MR LEADS Lead Finder shall not be liable for any services or products to be
supplied by any third party;
4.5 MR LEADS Lead Finder shall not be liable for any loss or damage of
whatsoever nature suffered by You arising out of or in connection with any
breach of this Agreement by You or any act, misrepresentation, error or
omission made by You or on Your behalf.
4.6 MR LEADS Lead Finder will not be liable for any indirect loss,
consequential loss, loss of profit, revenue, data or goodwill howsoever arising
suffered by You or for any wasted management time or failure to make
anticipated savings or liability You incur to any third party arising in any
way in connection with this Agreement or otherwise whether or not such loss has
been discussed by the parties pre-contract or for any account for profit, costs
or expenses arising from such damage or loss.
4.7 No matter how many claims are made and whatever the basis of such claims, MR
LEADS Lead Finder’s maximum aggregate liability to You under or in connection
with this Agreement in respect of any direct loss (or any other loss to the
extent that such loss is not excluded by other provisions in this Agreement)
whether such claim arises in contract or in tort shall not exceed a sum equal
to 3 months of the fees paid by You for the services in relation to which Your
claim arises during the period prior to such claim.
4.8 None of the clauses herein shall apply so as to restrict liability for
death or personal injury resulting from the negligence of MR LEADS Lead Finder,
its employees or its sub-contractors.
4.9 When using MR LEADS Lead Finder’s Reviews service users must insure that they
do not breach any third party terms of service. If a breach does occur MR LEADS
Lead Finder, its officers, employees, agents and sub-contractors will not be
held liable.
5. INDEMNIFICATION
5.1 You agree that You shall defend, indemnify, save and hold MR LEADS Lead
Finder, its officers, employees, agents, sub-contractors and affiliated
companies harmless from any and all demands, liabilities, losses, costs and
claims, including reasonable attorney’s fees asserted against MR LEADS Lead
Finder, its agents, its customers, officers and employees, that may arise
directly or indirectly as a result of any service provided or performed or
agreed to be performed or any product sold by You, Your agents, employees or
assigns;
6. FORCE MAJEURE
6.1 Neither party is under any liability to the other party in respect of
anything which, apart from this provision, may constitute a breach of the
Agreement arising by reason of force majeure which means, in relation to either
party, circumstances beyond the reasonable control of that party including acts
of God, acts of any governmental or supranational authority, war or national
emergency, riots, civil commotion, fire, network failure, systems fault,
unauthorized use or access to the IT systems of MR LEADS Lead Finder or the Customer,
explosion, flood, epidemic, lock outs (whether or not by that party), strikes
and other industrial disputes (in each case, whether or not relating to that
party’s workforce), restraints or delays affecting shipping or carriers,
inability or delay in obtaining supplies of adequate or suitable materials and
currency restrictions, to the extent outside of its reasonable control.
7. ENTIRE AGREEMENT
7.1 This Agreement constitutes the entire agreement between the parties hereto
relating to the subject matter hereof and neither relied on any representation
made by the other party unless such representation is expressly included
herein;
7.2 Nothing in this clause shall relieve either party of liability for
fraudulent misrepresentations and neither party shall be entitled to any remedy
for either any negligent or innocent misrepresentation except to the extent (if
any) that a court or arbitrator may allow reliance on the same as being fair
and reasonable;
7.3 This Agreement supersedes any prior agreements, representations,
statements, negotiations, understandings, proposals or undertakings, oral or
written, with respect to the subject matter expressly set forth herein.
8. SEVERABILITY
8.1 In the event that any provision of this Agreement shall be unenforceable or
invalid under any applicable law or be so held by applicable court decision,
such unenforceability or invalidity shall not render this Agreement
unenforceable or invalid as a whole;
8.2 MR LEADS Lead Finder will amend or replace such provision with one that is
valid and enforceable and which achieves, to the extent possible, the original
objectives and intent of MR LEADS Lead Finder as reflected in the original
provision.
9. CONFIDENTIALITY
9.1 Each of the parties agrees not to disclose any Confidential Information
received from the other party or make any use of any such Confidential
Information other than for the purposes of performance of this Agreement,
except that (i) each party may disclose Confidential Information received from
the other to its responsible employees, consultants, sub-contractors or
suppliers who need to receive the information in the course of performance of
this Agreement, (ii) the confidentiality obligations set out above shall not
apply to any information which is or subsequently becomes available to the
general public other than through a breach by the receiving party, or is
already known to the receiving party before disclosure by the disclosing party
or is developed through the independent efforts of the receiving party, or
(iii) the receiving party rightfully receives from a third party without
restriction as to use.
10. WAIVER
10.1 The failure or delay by either party in exercising any right, power or
remedy of that party under the Agreement will not in any circumstances impair
such right, power or remedy, nor operate as a waiver of it;
10.2 The single or partial exercise by either party of any right, power or
remedy under the Agreement will not in any circumstances preclude any other or
further exercise of it or the exercise of any other right, power or remedy.
10.3 Any waiver by either party of a breach of or default under any of the
terms of the Agreement by the other party is not deemed a waiver of any
subsequent breach or default and in no way affects the other terms of the
Agreement.
11. ASSIGNMENT
11.1 You shall not assign, sub-license or transfer Your rights or obligations
under this Agreement to any third party without the prior written consent of MR
LEADS Lead Finder. However, in the event that MR LEADS Lead Finder consents to
such an assignment, sub-license or transfer, then this Agreement shall endure
to the benefit of and be binding upon the parties and their respective
successors and permitted assigns;
11.2 MR LEADS Lead Finder may sub-contract or assign any or all of its rights
and obligations under this Agreement.
12. AMENDMENTS
12.1 This Agreement may not be amended or modified by You except by means of a
written document signed by both You and an authorized representative of MR
LEADS Lead Finder.
13. NOTICES
13.1 You agree that any notice or communications
required or permitted to be delivered under this Agreement by MR LEADS Lead
Finder to You shall be deemed to have been given immediately if delivered by
e-mail or 24 hours after dispatch if sent by overnight mail in accordance with
the contact information You have provided.
14. GOVERNING LAW
14.1 This Agreement, and Your rights and obligations under this Agreement,
shall be governed by the laws of Spain, subject to the exclusive jurisdiction
of the courts of Spain.
DISCLAIMERS
MR LEADS Lead Finder makes no warranties, representations or undertakings
(whether express or implied): About any of the content of these pages
(including, without limitation, as to the accuracy, completeness, satisfactory
quality or fitness for a particular purpose of such content or that the content
of these pages is error-free). About any other Web site (or any content of or
goods or services offered through any such Web site) accessed through or
referred to in these pages, whether by means of a hypertext link or otherwise.
In no event will MR LEADS Lead Finder be liable for any direct, indirect or
consequential losses or damages resulting from use of or reliance on these
pages or any other web site accessed through or referred to in these pages. The
